Important Notice

By accessing and using this website and our lending services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. All lending services are subject to application approval and lender verification.

Lending Disclosures

We do not sell, broker or originate Federally Regulated Mortgages (ARS Title 6, Chapter 9, Articles 1 and 2) or Consumer Loans subject to state licensing, bonding or registration under the purview of the Arizona Department of Insurance and Financial Institutions (AZDIFI). We do not lend on owner occupied properties.

We are short term, private, hard money lenders and do not accept investor money (i.e., act as a fund or syndicate). As private money lenders we are exempt from the Real Estate Procedures Act (RESPA) regulations (12 U.S.C. section 2602 (1) and 12 CFR section 1024.2 x) with one exception, RESPA, section 8; therefore we do not offer referral fees.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Duna LLC, doing business as Fusion Central Capital ("Company," "we," "us," "our"), located in Phoenix, Arizona.

Your use of our website, services, and lending products constitutes your acceptance of these Terms. If you do not accept these Terms in their entirety, you may not use our services.

2. Definitions

Services

"Services" refers to all lending products and services offered by Fusion Central Capital, including but not limited to business loans, real estate financing, alternative lending products, and credit card consulting.

Application

"Application" refers to any loan application, credit application, or other formal request for services submitted by the User to the Company.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Be a legal resident of the United States
  • Have a valid Social Security Number or EIN (for businesses)
  • Meet our creditworthiness and financial requirements
  • Not be in default on any existing loans or credit obligations
  • Not have filed for bankruptcy within the past 7 years (unless discharged)

We reserve the right to verify your eligibility at any time and to deny services to individuals or businesses that do not meet our requirements.

4. Application and Signed Agreement Process

As part of our standard lending procedures, once your application has been reviewed and initially approved, we require a signed application form and loan agreement before funds can be disbursed. This process includes:

  • Initial Application: You submit a preliminary application through our website or directly to our team
  • Pre-Qualification Review: We review your basic information and determine pre-qualification status
  • Full Application: If pre-qualified, you will receive a complete application package
  • Documentation Submission: You provide required documentation including tax returns, bank statements, income verification, and business documents
  • Underwriting and Approval: Our team conducts thorough underwriting, credit analysis, and borrower vetting
  • Signed Documents: Upon approval, you will receive and must sign the loan agreement, promissory note, and any required disclosures
  • Fund Disbursement: Funds are disbursed only after all signed documents are received and processed

Under certain circumstances, such as unusually high loan amounts, complex financial situations, or specific lending products, we may require additional documentation, personal guarantees, or in-person meetings to finalize the signed agreement.

5. Loan Processing and Approval

All loans are subject to application, verification, underwriting, and lender approval. We make lending decisions based on:

  • Credit history and credit score
  • Financial capacity and income verification
  • Business history and viability
  • Collateral or security offered
  • Overall risk assessment
  • Compliance with our underwriting standards

We reserve the right to request additional information, conduct verifications, and modify approval status at any time based on new information or changed circumstances.

6. Representations and Warranties

By submitting an application and accepting our services, you represent and warrant that:

  • All information provided is accurate, complete, and truthful
  • You have the legal authority to enter into a loan agreement
  • You are not operating under any legal restrictions or court orders
  • All documents and financial statements provided are authentic and unaltered
  • You will use loan funds only for lawful purposes as stated in your application
  • You have disclosed all material facts relevant to your creditworthiness
  • You are not involved in transactions related to money laundering or terrorist financing

Any misrepresentation or fraud may result in immediate loan denial, fund reclamation, and legal action.

7. Fees, Costs, and Finance Charges

Lending products are subject to various fees and finance charges, including but not limited to:

  • Application fees
  • Origination fees
  • Processing and administrative fees
  • Interest charges
  • Prepayment penalties (if applicable)
  • Late payment fees
  • Default interest rates

All applicable fees and finance charges will be disclosed in your loan agreement before you sign. You are responsible for reviewing and understanding all costs associated with your loan.

8. Loan Repayment and Payment Terms

You agree to repay all borrowed funds according to the payment schedule specified in your loan agreement. Payment obligations include:

  • Timely Payments: All payments must be made on or before the due date
  • Payment Method: Payments must be made through the method specified by the Company
  • Full Repayment: You agree to repay the full principal amount plus all accrued interest and fees
  • Acceleration: We reserve the right to declare the entire loan balance immediately due if you default on any payment

9. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING:

  • The accuracy or completeness of information on our website
  • The uninterrupted or error-free operation of our website
  • The fitness of our services for a particular purpose
  • The compatibility of our services with your business goals
  • The future performance or success of your business

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSION CENTRAL CAPITAL SHALL NOT BE LIABLE FOR:

  • Loss of profits or business opportunity
  • Loss of data or information

Termination of services does not relieve you of your obligation to repay any outstanding loans.

We also reserve the right to modify, discontinue, or restrict access to our Services at any time.

15. Governing Law and Jurisdiction

These Terms of Service and all lending agreements are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in Maricopa County, Arizona. You consent to the exclusive jurisdiction and venue of such courts.

16. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, except for claims seeking injunctive relief.

Arbitration shall take place in Phoenix, Arizona, and shall be governed by Arizona law. Each party shall bear its own costs and attorney's fees unless otherwise awarded by the arbitrator.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms of Service, together with any loan agreement, promissory note, and other documents provided by Fusion Central Capital, constitute the entire agreement between you and the Company regarding the use of our Services and supersede all prior or contemporaneous communications, agreements, or understandings.
